Subscription terms
This English version is a translation provided for information. These terms are governed by French law (section 15); in the event of any discrepancy, the French version prevails.
These terms apply to shops subscribing to a Bike Shop Network plan (Showcase, Atelier, Boutique or Pro), and to the use of the back office, the shop website and the customer app provided with these plans. The provider is Benoît Morin, a sole trader trading as bikeshop-network.com (BSN): see the legal notice.
The plans are reserved for professionals (bike shops, workshops, groups of shops) acting for the purposes of their business. These terms and the data processing agreement, which is part of them, are accepted by ticking a box when the shop is created and before the first payment. We keep a record of this acceptance: the account and shop concerned, the document, its version and the date.
1. Plans and prices
Each plan’s content and price are described on the Pricing page on the day of subscription. Prices exclude taxes. The Atelier, Boutique and Pro plans are paid yearly, or monthly with no commitment.
Prices are shown in the currency of the shop’s country: euro, pound sterling, US dollar, Canadian dollar or yen. Applicable taxes (VAT, sales tax, GST/HST, Japanese consumption tax) are added at checkout based on the shop’s country and billing address. The amount charged is the one shown at checkout.
Price locked for 3 years (launch offer, Black Friday offer): for a yearly subscription taken out no later than the deadline shown on the Pricing page, the plan’s discounted price applies for 3 years from activation, yearly renewals included. It does not apply to monthly payment. After that, the current price applies, with the reminder provided for in section 4.
Promotional offers: they are time-limited and are not renewed; when they end, the plan’s standard price applies.
2. Payment
Orders and payments are processed by Paddle.com Market Limited (“Paddle”), our authorised reseller (merchant of record): the shop buys the subscription from Paddle, which collects the payment, issues the invoices and applies taxes. A valid EU VAT number can be entered at checkout. Bike Shop Network never receives or stores any card details. With yearly payment, setup is free; with monthly payment, the setup fee is paid once, on subscription, at the amount shown on the Pricing page. The subscription is paid, as you choose, yearly (in one payment, upfront, for 12 months) or monthly (see section 4).
3. 30-day guarantee
If the service does not suit you, you can end it on request within 30 days of its activation (the day your back-office access is opened). Everything you paid is then refunded: the year paid upfront or the months already charged, and the setup fee if one was paid.
4. Term, renewal and cancellation
- Business-to-business contract: the Atelier, Boutique and Pro plans are subscribed by the shop for the purposes of its professional activity.
- Yearly subscription: paid in one payment, upfront, for 12 months from its activation.
- Renewal of the yearly subscription: at the end of the term, it renews for another 12 months at the current rate, unless cancelled before the end of the term, from the Subscription page, the payment portal or by e-mail. A reminder e-mail, stating the renewal date and the price of the next period, is sent two months before.
- Monthly subscription: no minimum term. It is paid every month, upfront, and renews from month to month.
- Cancelling the monthly subscription: possible at any time, from the Subscription page, the payment portal or by e-mail. It takes effect at the end of the month already paid: the service remains available until then, no further payment is taken, and the current month is not refunded.
- Cancelling the yearly subscription: possible at any time; it takes effect at the end of the year paid. The service remains available until then and the year paid is not refunded. The only exception: in the event of a serious breach by Bike Shop Network of its obligations, not remedied within 30 days of a written formal notice, the shop may terminate with immediate effect; the part of the year paid upfront that covers the remaining months is then refunded.
- Changing the payment option: switching from monthly to yearly is possible at any time, the new 12-month period starting on payment. Switching from yearly to monthly takes effect at the end of the year paid.
- 30-day guarantee: within 30 days of activation, a cancellation takes effect immediately and everything paid is refunded (section 3).
- Setup fee: free with yearly payment; with monthly payment, paid once on subscription, at the amount shown on the Pricing page. It pays for the work done (catalogue import, configuration, training) and is not refunded after the guarantee period. Changing plan or payment option does not trigger a new setup fee.
- Changing plan: moving to a higher plan takes effect immediately; the difference is charged pro rata for the current period. Moving to a lower plan takes effect at the end of the period already paid (the year, or the current month), with no refund; until then, the plan paid for remains fully available. The shop’s data is kept; features that are not part of the new plan are no longer available until it is subscribed again.
- Text messages: each plan includes a number of text messages per month shown on the Pricing page, not carried over from one month to the next. Beyond that, text message packs can be bought from the Subscription page; they are valid for 12 months and are non-refundable. When no text messages are available, sending is paused: no text message is charged without a prior purchase.
- Showcase: paid once; hosting renews every year at the current rate and can be stopped before each renewal.
- Failed payment: after automatic reminders and 14 days without payment, access is suspended; after 30 days of suspension, the subscription is cancelled. Nothing is claimed for the period after cancellation.
5. Your data, your domain and portability
- You remain the owner of your data, content and domain name.
- Free self-service export: at any time, from Settings › Data, the shop owner or a manager can download a ZIP archive of the shop’s data: every table as CSV (readable in Excel or Numbers) and JSON (customers and consents, loyalty and gift cards, products and stock, bookings, workshop tickets, suppliers, team, articles and pages…), quotes and invoices as pages ready to print or save as PDF, the website texts (articles and legal pages in Markdown, settings) and an HTML copy of its home page. Photos remain downloadable from their addresses, listed in the export.
- After the subscription ends: the website and tools stop at the end of the current period. Your data remains exportable for 30 days, then it is permanently deleted (backups are purged within the following 30 days). Invoices we issued to you are kept for 10 years, as required by law.
- Domain name: if we registered it, it was registered in your name; we send you its transfer code free of charge. Renewal is then at your expense.
- Assistance: on request, we can carry out the migration for you (sending files to the new provider, data import, publishing elsewhere). This optional service is quoted in advance, at the actual cost of the work.
6. Taxes, legal wording and shop documents
The shop is solely responsible for configuring its taxes (names, rates, exemption, registration numbers), the legal wording, the quotes, invoices and legal pages of its website, and the messages it generates and sends with the service. It can change them at any time, in particular from Settings › Shop (Taxes, Invoice wording, Legal details).
For the shop’s convenience, Bike Shop Network suggests defaults based on the shop’s country and region: tax rates, wording on quotes and invoices, templates for legal pages and messages. They are provided without any guarantee of accuracy, completeness or being up to date, and do not constitute tax, accounting or legal advice. The shop has them checked by its accountant or adviser, and remains solely responsible for the taxes applied to its sales and the documents given to its customers.
7. Availability and support
We make our best efforts to keep the service available, except for announced maintenance. Support answers by e-mail and in the app within 4 business hours.
8. Account and security
- The shop provides accurate, complete and up-to-date information, and keeps it up to date.
- It is responsible for keeping its team’s access confidential (sign-in links, passwords, counter PIN codes) and for all activity carried out from its account. It informs us without delay, at contact@bikeshop-network.com, of any unauthorised use or security breach of its account.
- It gives each team member the role that matches their job.
9. Acceptable use
The shop uses the service fairly and lawfully. In particular, it must not:
- harm the operation or security of the service (intrusion attempts, viruses, flooding with requests);
- scrape, copy or reuse the service’s data, including the bike shop directory, beyond its intended uses;
- decompile or reverse-engineer the service;
- impersonate a third party or provide false information;
- publish or send content that is unlawful, misleading, defamatory or infringes the rights of others.
The shop remains responsible for the content it publishes (website, articles, posts, offers) and for the messages it sends to its customers. It only sends promotional offers to customers who have agreed to receive them, as required by the law of their country.
10. Intellectual property
The service (software, interfaces, texts, website templates, bike shop directory) belongs to Benoît Morin / bikeshop-network.com or its partners, and remains protected by copyright, trademark law and database rights. The subscription gives the shop a non-exclusive, non-transferable right of use for the term of the subscription; it does not transfer any rights.
The shop’s content (texts, photos, logo, catalogue, its customers’ data) remains its property. The shop authorises us to host, display and process it to provide the service, during the subscription and the export period in section 5.
11. Liability
We provide the service with due care and according to professional standards. Our liability only covers direct and proven damage. It excludes indirect damage (loss of revenue, customers or reputation), the consequences of using the service improperly, and interruptions caused by announced maintenance, force majeure or the failure of a provider beyond our control (hosting, network, text message operator).
In any event, our liability is limited to the amount paid by the shop for the subscription period in progress when the event giving rise to it occurred.
Information from public sources (bike shop directory, Google listings, ranking) is provided without any guarantee of completeness or accuracy. The shop checks the suggested legal pages, tax rates and document wording before publishing or applying them; Bike Shop Network is not liable for the consequences of settings that the shop has not checked or has changed (section 6).
12. Suspension and account deletion
- In the event of a serious or repeated breach of these terms (fraud, security breach, unlawful content, false information), we may suspend access, after a warning by e-mail except in an emergency, then terminate the subscription. Amounts paid for the current period are then not refunded.
- The account owner can ask for the account to be deleted at any time at privacy@bikeshop-network.com. Data is deleted at the end of the subscription and of the export period in section 5, subject to legal retention obligations (invoices).
13. No right of withdrawal
These terms govern contracts between professionals, for the purposes of their business: the provisions of the French Consumer Code on the right of withdrawal do not apply (article L221-3). The 30-day guarantee in section 3 applies in all cases.
14. Changes to these terms
We may update these terms, in particular to follow changes to the service or the law. Any significant change is announced by e-mail before it takes effect; a price change only applies from the next renewal. A shop that refuses a change can cancel its subscription under the conditions of section 4.
15. Governing law
French law. In the event of a dispute, and after an attempt at amicable settlement, the courts of Paris have jurisdiction.
